GOLAW’s attorneys have over a decade of experience with transactions of project finance and syndicated loans, debt restructuring, foreclosures and similar projects in the banking and finance sector. Attorneys of our banking and finance practice are representing the largest Ukrainian and foreign banks on debt recovery in court proceedings as well as out-of-court settlements. The distinctive strategy of the firm in such matters is to provide advice starting with enforcement of a levy on debtor’s assets and the sale of such assets (real estate, shares, movable property etc.) up to recovery of the client’s funds.

Analysis of a debtor’s corporate structure and risk assessment is an important stage of financing and requires appropriate competencies of advisors structuring the transaction. This is particularly true if the borrower’s group of companies has a foreign element. GOLAW attorneys advise banks and private creditors on complete disclosure of the borrower’s corporate structure and information on final beneficiaries. Among the firm’s successfully handled matters is consultancy on trade and export finance with state export credit agencies and project finance transactions with international financial institutions such as the European Bank for Reconstruction and Development (EBRD), the International Finance Corporation (IFC) and the World Bank.

Legal support of EGAP and Erste Abwicklungsanstalt (EAA) on a restructuring of companies group debts

GOLAW provided comprehensive legal support to creditors Export Guarantee and Insurance Corporation in Czech Republic (EGAP) and Erste Abwicklungsanstalt (EAA), a financial institution in Germany, on a restructuring of Eurocar companies group debts for a total value of more than USD 70 mln.

Advising ProCredit Bank on subordinate financing

GOLAW advised ProCredit Bank, an international bank, on subordinate financing with IFC and other banks of Ukrainian company. The case is the first financing project for Procredit Bank (Ukraine) with International Finance Corporation as a major lender. The value of the project is USD 10 mln.

Legal support of Chezh Bank and EGAP in a complex loan dispute

Corporation (EGAP) in the Czech Republic in a complex loan dispute with LLC Kuzmynetskiy Brick Factory – one of the largest ceramic brick factories in Ukraine with the total project value USD 48m. GOLAW ensured restoration of the bank’s right over the mortgaged assets, initiating bankruptcy of the borrower and successful foreclosure on the brick factory and the land plot with its further sale at public auction as an integral property complex.

Сomprehensive legal support of EGAP in a dispute regarding the debt recovery under the loan agreement

GOLAW provided comprehensive legal support to Export Guarantee and Insurance Corporation (EGAP) in a dispute with a major Ukrainian agro holding “Creative Group” PJSC regarding the debt recovery under the loan agreement, blocking fraudulent bankruptcies of the borrower, successful foreclosure on the grain elevator and further sale of the foreclosed assets. The total value of the project is EUR 15 mln.
